As of March 2, 2026, real estate wholesaling is officially legal and regulated in Ohio under Ohio Revised Code §5301.95. Before this date, wholesaling existed in a gray area — and because it lacked legal clarity, Ohio Broker Direct did not accept or list wholesale deals.

Wholesaling Became Legal in Ohio on March 2, 2026

For years, wholesaling operated without formal regulation. That changed when Ohio enacted ORC 5301.95, which:

  • Legalizes wholesaling
  • Defines what wholesalers can and cannot do
  • Requires mandatory disclosures
  • Protects homeowners from deceptive practices

What the New Law Requires From Wholesalers

Ohio now requires wholesalers to follow strict consumer‑protection rules. The most important requirement is the Wholesale Disclosure Form, which must:

  • Be provided before the seller signs any agreement
  • Be separate from the purchase contract
  • Be in bold, minimum 12‑point font
  • Contain the exact statutory language
  • Be signed and dated by the seller

This disclosure ensures the seller understands:

  • The wholesaler is not the end buyer
  • The wholesaler intends to assign or market their contractual interest
  • The wholesaler may profit from the assignment
  • The seller may seek legal counsel

This transparency is the foundation of the new law.

Requesting the Required Wholesale Disclosure Form

Who Can Legally Sell Real Estate in Ohio?

Ohio law is very clear about who is legally permitted to convey real estate. A Seller must be one of the following:

1. The legal title holder

Any individual whose name appears on the deed.

2. An authorized representative of a legal entity

Such as:

  • A corporation (officer or authorized agent)
  • An LLC (member or manager with authority)
  • A trust (trustee)

3. An executor/executrix or administrator of an estate

Appointed by probate court.

4. A court‑appointed representative

Including:

  • A guardian
  • A receiver
  • A sheriff or court officer conducting a judicial sale

5. Any individual legally empowered to transfer title

Such as someone holding:

  • A Power of Attorney (POA) specifically authorizing the sale of real estate
  • A court order granting authority

These individuals may sell property directly without needing a wholesale contract.

Unlike traditional sellers, wholesalers must meet two legal requirements before they can market or assign their interest:

1. A properly executed Wholesale Disclosure Form (ORC 5301.95)

This must be signed by the seller before any agreement is executed.

2. A valid, fully executed purchase contract between the Wholesaler and the Seller

Without this contract, the wholesaler has no equitable interest to market or assign.

These documents are mandatory — not optional.

Consumer Awareness: What Homeowners Should Know

If someone approaches you about buying your home and they are a wholesaler:

  • They may not be the person who ultimately buys your property
  • They may assign the contract to another buyer for a profit
  • They must give you the Wholesale Disclosure Form before you sign anything

  1. Properly executed Wholesale Disclosure Form (as required by ORC 5301.95)
  2. Fully executed purchase contract between the Wholesaler and the Seller

These documents must be:

  • Complete
  • Accurate
  • Signed by all required parties
  • Submitted before the listing is activated
